How to Collect NDAs Scattered Across Your Sales Team

Ask whoever manages a growing startup’s records, whether that’s the founder, the general counsel, or the corporate secretary, how many NDAs the company has signed, and the honest answer is often “we’re not sure.” Not because nobody signed them, but because the people who signed them were in sales, business development, partnerships, or marketing, and the signed copies stayed with them.

Why NDAs end up scattered

NDAs are signed constantly and quickly. A sales lead sends one before a demo. A partnerships manager signs one before a first call. A founder signs one before a meeting with a potential acquirer. Each person saves the signed copy wherever is convenient, usually their inbox or the signature platform they used.

For the person who signed it, the job is done. Their focus is the deal, not the document. The NDA is a step on the way to something else.

For the company, those NDAs matter. They define what you’ve promised to keep confidential, what others have promised you, and for how long. When a question comes up, such as whether you’re allowed to share a partner’s information with an acquirer, or whether a former prospect is bound by confidentiality, someone needs to find the right NDA quickly.

What it costs when they’re scattered

You can’t answer confidentiality questions. If nobody can find the NDA, nobody knows the obligations.

Diligence slows down. Acquirers and investors may ask about confidentiality obligations and material agreements. Chasing NDAs across a sales team takes time.

Obligations get missed. Some NDAs require returning or destroying information at the end of a relationship. If nobody knows the NDA exists, nobody does that.

Knowledge leaves with people. When a salesperson leaves, their inbox often goes with them, along with the only copy.

How to collect them

Give everyone one place to send them. A single email address or secure upload link for signed agreements. People don’t need to learn a filing system. Imagine if they could simply email or forward a signed NDA straight into the company’s corporate vault, landing in exactly the folder it belongs in. No downloading it from an inbox and uploading it to Google Drive. Just forward it, and it’s filed.

Do a one-time sweep. Ask everyone who might have signed NDAs to send what they have, including from their signature platform history.
