Hundreds of Documents and a Messy Cap Table, Organized in Minutes

Some of my favorite conversations with DocChief users start the same way: “I was overwhelmed.”

This is one of those stories.

The situation

A DocChief user came to us in the middle of a complicated deal. There were hundreds of documents involved: financing instruments, board approvals, grants, and agreements accumulated over the company’s life. And the cap table was, in their words, very, very messy.

Anyone who has worked on a deal like this knows what comes next. Someone has to read every document, work out what happened and in what order, and reconcile it all against the cap table. Which shares were issued under which agreement. Which grants were approved and when. Which instruments convert, and on what terms. It’s the kind of work that normally takes weeks, and it usually happens while the deal is waiting.

What they did

They uploaded all of the documents into DocChief.

That was essentially it. DocChief organized the documents automatically into the right categories and built the story of the company’s cap table from the documents themselves: each issuance, grant, and financing laid out in sequence, with every step traceable to the source document behind it.

What changed

What stood out to them was how quickly the whole picture appeared. The history they would otherwise have had to reconstruct by hand was simply there, with everything in the right place. Work that would have taken weeks took minutes.

And with the story visible, the gaps became visible too. Instead of searching for problems, they could see where the record was incomplete and focus their time, and their lawyers’ time, on fixing it.

Why this matters

Messy cap tables are common. They aren’t a sign of a badly run company, or of founders who didn’t care. Early on, few companies can afford someone whose job is keeping equity records in order, and founders are too stretched to do it themselves. They’re what happens when documents are created one at a time, over years, by different people, and filed in different places. The mess only becomes a crisis when a deal forces someone to reconcile everything at once.

The lesson isn’t just that software can do this faster. It’s that the reconstruction shouldn’t have to happen in a crisis at all. When the record is organized and the story is visible all along, a complex deal starts from clarity instead of chaos.
