Investor Due Diligence Open Items Register How to Report Unresolved Work

Investor due diligence open items need a clear account of what is unresolved and what the team is doing about it. Maintain a register that connects each observation to its source records, responsible person, next action, and review outcome. This helps founders coordinate the work without presenting an incomplete record as complete.

The register is a preparation and communication tool. Ask the appropriate advisors to assess legal, financial, or transaction questions and decide how they should be addressed and disclosed.

Describe the observation before the conclusion

State the factual issue the team identified. An executed copy has not been located, two summaries use different customer definitions, or an attachment is absent from the available set are more useful observations than a broad label such as bad documentation.

Add the source references and relevant dates. If the team has not yet established the reason for a discrepancy, preserve that uncertainty rather than choosing an explanation that makes the item look less significant.

Give each item a responsible owner and next action

Identify who can investigate the matter and which reviewer needs to assess the result. Define a concrete next step, such as locating an applicable record, reconciling a figure, or asking counsel to review related correspondence. Record the next update date agreed with the person doing the work.

For a hypothetical startup, an ownership summary differs from another maintained record. The action is to reconcile the sources with the responsible people and advisors. Changing one file to match the other without that review does not resolve the underlying question.

Use status labels that reflect completed work

Keep newly identified, under investigation, awaiting review, and reviewed outcome distinct. A plan to obtain a document should not become a statement that the document has been obtained. Record the evidence and reviewer behind a status change.

An item may remain open because a decision or outside response is pending. Make that dependency visible. Closing an item should reflect the agreed outcome, including any continuing limitation, rather than simply removing it from the investor's view.

Separate the internal register from external reporting

The internal register may include working analysis and details unsuitable for every recipient. Prepare a reviewed external account for the relevant audience and transaction process. Coordinate sensitive disclosure with counsel and keep the shared answer connected to its supporting record.

Update the materials affected by the finding
