Series A fundraising readiness starts with bringing the company record forward from the previous round. Update the evidence of progress, reconcile the ownership and governance history, and check whether the documents support the new plan. A room assembled for an earlier seed financing may no longer describe the company accurately.

The name of the round does not create a universal diligence standard. Your business model, sector, financing history, and prospective investors determine the appropriate depth. Use the preparation process to expose changes and resolve inconsistencies before outreach.

Explain what changed after the previous financing

Compare the earlier plan with what the company actually achieved. Identify completed milestones, work still in progress, and decisions that changed. Explain the reasons rather than silently substituting a new narrative for the old one.

For example, a fictional company may move from counting paid pilots to tracking annual subscriptions. Presenting those counts as one continuous trend would obscure the change in commercial model. Explain the transition and identify the corresponding reports.

Review the record of earlier financing and company actions

Locate the documents for prior investments and the relevant subsequent amendments or actions. Ask counsel to review how those records relate to the ownership summary and the proposed new financing.

Maintain a list of changes since the last review: new instruments, grants, departures, appointments, or other relevant events. Each event should have a clear status and a reference to its evidence. A document drafted for an intended action should not be mistaken for proof of its completion.

Check whether relationships changed as the company grew

Growth can introduce new customers, contributors, suppliers, and commercial dependencies. Identify the relationships most important to the investment story and locate the applicable agreements. Review whether the data room contains current terms and amendments, rather than only the original contracts.

Bring questions about rights, obligations, or missing documentation to the appropriate advisor. A tidy folder helps the review, but the team still needs to understand what its records establish.

Tie the proposed use of capital to the next milestones

Explain how the new plan follows from the company’s current position. Identify the assumptions behind spending, hiring, and growth. Show the reporting period for actual financial information and separate it from the forecast.

The internal preparation test is whether a founder, finance lead, and advisor can describe the same plan using the same underlying information. Resolve differences before sharing materials with several investors.
